NovaTask Supply LLC, a Wyoming limited liability company (“NovaTask”, “we”, “us”). Effective date: October 10, 2026.
1. Scope
These Terms apply to all quotations, orders and sales of products and services by NovaTask, including automotive components, hydraulic filtration products, construction tooling such as SDS-Plus and SDS-Max drill bits and chisels, and carbide end mills. NovaTask sells to businesses only. We do not sell to consumers for personal or household use.
These Terms override any terms in a buyer’s purchase order or other document unless we agree otherwise in a signed writing.
2. Quotations
- Quotations are valid for 30 days unless the quotation states otherwise.
- Prices are in US dollars and exclude sales tax, import duties and freight unless the quotation states that they are included.
- Quotations for products made from commodity-linked materials, such as alloy steel, may be re-confirmed at the time of order if raw material prices change.
3. Orders
An order is binding only when we confirm it in writing (an order acknowledgment, pro-forma invoice or email). Each order must state part numbers or drawings, revision levels, quantities, delivery address and the agreed delivery term.
4. Payment
- Accepted methods: bank wire, ACH and card.
- New accounts and custom-manufactured parts: deposit or prepayment as stated in the quotation.
- Approved accounts: net terms as stated on the invoice.
- Overdue amounts may incur interest at 1.5% per month or the maximum rate allowed by law, whichever is lower, plus reasonable collection costs.
5. Drawings, specifications and confidentiality
The buyer is responsible for the accuracy of drawings, specifications and material requirements it supplies. Drawings and technical data remain the buyer’s property. We keep them confidential and use them only to quote and fulfil the buyer’s orders.
6. Quantities and tolerances
Custom-manufactured orders may ship within ±5% of the ordered quantity, invoiced at the actual quantity shipped, unless the order states otherwise. Dimensional and material tolerances follow the agreed drawing or specification.
7. Lead times
Lead times are estimates from the date we receive the order and any required deposit, drawings and approvals. We will tell you promptly about any expected delay.
8. Delivery, title and risk
Delivery terms are agreed case by case and stated in the quotation, using Incoterms® 2020 rules such as EXW, FCA or FOB. Import customs clearance and duties are the buyer’s responsibility. Risk passes to the buyer as defined by that rule. Title passes when we receive full payment.
9. Inspection and claims
The buyer must inspect goods within 10 business days of delivery and report any shortage, damage or non-conformity in writing, with photos and order details. Goods not reported within this period are deemed accepted.
10. Warranty
We warrant that products will conform to the agreed specification and be free from defects in material and workmanship for 12 months from delivery. Our sole obligation under this warranty is, at our option, to repair, replace or credit the non-conforming product.
The warranty does not cover normal wear (for example drill bits, end mills, chisels and filter elements), misuse, incorrect installation, use outside the stated ratings, or modification by others. Except as stated here, we make no other warranties, express or implied, including merchantability or fitness for a particular purpose.
11. Limitation of liability
We are not liable for indirect, incidental, special or consequential damages, including lost profits, production downtime or recall costs. Our total liability for any order will not exceed the price paid for the products giving rise to the claim.
12. Returns and cancellations
Returns require a Return Authorization (RA) number issued by us in advance. Custom-manufactured, private-label and special-order items cannot be cancelled once production or purchasing has started, and the buyer is responsible for costs already incurred. See Returns, Warranty & Claims.
13. Imports, tariffs and compliance
Many products are made by our manufacturing partners in Asia and shipped under the agreed Incoterm. NovaTask does not provide import customs clearance; the buyer is the importer of record and is responsible for customs entry, duties, tariffs and import taxes. If export-side costs or regulations change after a quotation is issued, we may adjust the price accordingly, with notice to the buyer. Each party will comply with applicable export control and sanctions laws.
14. Force majeure
Neither party is liable for delays caused by events beyond its reasonable control, including natural disasters, labor disputes, port congestion, carrier failures, epidemics or government action.
15. Governing law
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply. Disputes will be resolved in the state or federal courts located in Wyoming.
